These Terms of Service govern your access to and use of the FIEL website, customer account, products, services, quotations, orders, artwork services, and related services. By using this website, creating an account, requesting a quotation, approving artwork, submitting an order, or purchasing products from FIEL, you agree to these Terms of Service.

1. General

This website is operated by FIEL. Throughout the website, the terms “FIEL,” “we,” “us,” and “our” refer to FIEL and its applicable affiliated entities.

These Terms of Service apply to all users of the website, including customers, distributors, company administrators, buyers, account users, visitors, and any person or organization purchasing or requesting products or services from FIEL.

We reserve the right to update, modify, replace, or discontinue any portion of these Terms of Service at any time by posting an updated version on this website.

2. Business and Customer Accounts

FIEL primarily provides promotional products, custom-printed products, displays, event products, apparel, textiles, and related products and services to businesses, organizations, distributors, and other commercial customers.

Customers are responsible for maintaining accurate company, billing, shipping, contact, tax, and account information.

If multiple users are associated with a company account, the company is responsible for determining which individuals are authorized to access the account, view pricing, submit quotations, approve artwork, place orders, or otherwise act on behalf of the company.

Actions taken by an authorized user associated with a company account may be treated as actions authorized by that company.

3. Pricing

Product pricing may vary based on customer, customer catalog, distributor program, quantity, product configuration, decoration method, production time, currency, shipping destination, promotional pricing, or other applicable factors.

Certain customers may have access to customer-specific or contract pricing that differs from publicly displayed or standard pricing.

Prices shown on the website are subject to change without notice unless otherwise stated in a written quotation or agreement.

In the event of a pricing, typographical, data-entry, system, or calculation error, FIEL reserves the right to correct the error before the order enters production. If a material pricing error affects an order, we will attempt to notify the customer before proceeding.

4. Quotations

Quotations are based on the information available at the time the quotation is prepared and may be subject to expiration, product availability, production capacity, shipping charges, currency fluctuations, artwork requirements, and other conditions stated in the quotation.

A quotation does not guarantee inventory, production capacity, delivery date, or acceptance of an order unless specifically stated otherwise in writing.

5. Order Acceptance

Submission of an order does not necessarily constitute final acceptance by FIEL.

An order may require review of pricing, inventory, artwork, production requirements, payment terms, credit status, shipping information, and other order details before it is accepted for production.

FIEL reserves the right to reject or cancel an order prior to production where reasonably necessary, including due to pricing errors, product availability, artwork issues, account status, payment issues, production limitations, legal concerns, or other circumstances that prevent us from fulfilling the order as submitted.

6. Customer Artwork, Logos, and Intellectual Property

Customers may provide logos, trademarks, photographs, designs, names, text, graphics, artwork, or other materials for reproduction on products.

By submitting such materials to FIEL, the customer represents and warrants that it owns the materials or has all necessary rights, permissions, licenses, and authorizations required for FIEL to reproduce them as requested.

The customer is responsible for any claim arising from unauthorized use of trademarks, copyrights, logos, artwork, names, images, or other intellectual property supplied by the customer.

FIEL may refuse artwork or content that we reasonably believe is unlawful, infringing, fraudulent, deceptive, offensive, or otherwise inappropriate for production.

7. Artwork Preparation and Production Adjustments

Customer-supplied artwork may require modification, resizing, repositioning, colour adjustment, conversion, clean-up, vectorization, or other production preparation.

Minor production-related adjustments may be made where necessary to accommodate the manufacturing or printing process.

Customers are responsible for supplying artwork of sufficient quality and resolution for the requested product and decoration method.

8. Virtual Samples

Virtual samples, mockups, renderings, digital proofs, and product visualizations are intended to provide an approximate representation of the finished product.

Differences may occur between a virtual representation and the physical finished product, including differences in colour, scale, artwork placement, texture, materials, printing, stitching, lighting, product shape, and other manufacturing characteristics.

Virtual samples should not be treated as exact photographic representations of the final manufactured product.

9. Proofs and Customer Approval

Where an artwork proof is provided, the customer is responsible for carefully reviewing the proof before approval.

The customer should verify all relevant details, including:

  • spelling and wording;
  • logos and artwork;
  • colours;
  • artwork placement and orientation;
  • product selection;
  • quantities;
  • sizes;
  • production specifications; and
  • other applicable order details.

Approval of a proof authorizes FIEL to proceed based on the approved information.

FIEL is not responsible for errors that were present in an approved proof and could reasonably have been identified by the customer during the approval process.

Changes requested after proof approval may result in additional charges, production delays, or may not be possible once production has begun.

10. Colour Matching

Colours displayed on computer monitors, mobile devices, printed proofs, digital mockups, and other electronic displays may vary from colours produced on physical products.

Manufacturing materials, printing methods, fabric composition, coatings, substrates, lighting, and other production factors may affect final colour appearance.

Exact colour matching cannot always be guaranteed unless a specific colour-matching process has been expressly agreed to in writing.

11. Manufacturing Tolerances

Custom-manufactured and decorated products are subject to normal and commercially reasonable manufacturing tolerances.

Minor variations may occur in areas including:

  • product dimensions;
  • printed colours;
  • artwork position;
  • print alignment;
  • fabric and material appearance;
  • stitching;
  • finishing;
  • hardware;
  • product construction; and
  • quantities produced.

Minor variations that fall within reasonable industry manufacturing tolerances are not considered defects.

12. Production Times

Production times displayed on the website or stated in quotations are based on normal production conditions and are generally measured in business days unless otherwise specified.

Production time may begin only after all required information has been received and approved, which may include:

  • completed order information;
  • acceptable artwork;
  • proof approval;
  • payment or approved payment terms; and
  • any other information required to manufacture the order.

Delays in receiving artwork, approvals, payment, information, or customer responses may delay production.

Rush or expedited production services are subject to production capacity and may not be available for every product, quantity, or order.

13. Delivery Dates

Production time and shipping transit time are separate.

Any requested event date, in-hands date, delivery date, or other deadline should be communicated before the order is finalized.

Unless expressly guaranteed in writing, delivery dates are estimates and may be affected by carrier delays, weather, customs, transportation interruptions, incorrect addresses, force majeure events, or other circumstances outside FIEL's reasonable control.

14. Shipping

Orders may be shipped using UPS, FedEx, freight carriers, local carriers, courier services, or other transportation providers.

Shipping charges may be calculated based on the destination, package dimensions, weight, carrier service, customer pricing program, and other applicable shipping factors.

Orders may be shipped in multiple packages or separate shipments where appropriate.

Customers are responsible for providing a complete and accurate shipping address. Additional charges caused by incorrect, incomplete, or changed shipping information may be charged to the customer.

Once an order has been transferred to a carrier, transportation and delivery may be subject to the carrier's terms and operating conditions.

15. Taxes, Duties, and Other Charges

Applicable sales taxes, goods and services taxes, harmonized sales taxes, customs duties, brokerage fees, import charges, or other governmental charges may apply depending on the transaction and destination.

Customers claiming tax-exempt or resale status are responsible for providing valid documentation where required.

16. Payment

Payment requirements may vary depending on the customer account and may include payment by credit card, electronic payment, advance payment, approved credit terms, or other payment arrangements accepted by FIEL.

Customers with approved payment terms are responsible for paying invoices in accordance with the agreed terms.

FIEL may delay production, suspend ordering privileges, place an account on hold, or require payment before further orders are processed if an account becomes overdue or otherwise fails to satisfy agreed payment requirements.

17. Order Changes and Cancellations

Requests to modify or cancel an order should be submitted as soon as possible.

Once artwork preparation, purchasing, customization, printing, manufacturing, packaging, or other production activity has begun, the order may no longer be cancellable.

If cancellation or modification is possible after work has begun, the customer may be responsible for costs already incurred, including artwork charges, setup charges, material costs, production costs, restocking charges, or other applicable expenses.

18. Custom and Personalized Products

Many products sold by FIEL are produced specifically for the customer and may include customized printing, logos, names, colours, designs, dimensions, packaging, or other customer-specific features.

Because these products are custom manufactured, they generally cannot be returned or exchanged simply because the customer changes its mind, no longer requires the product, ordered an incorrect quantity, approved incorrect information, or no longer requires the product for an event.

19. Defective, Incorrect, or Damaged Orders

Customers should inspect orders promptly after delivery.

If an order is believed to be defective, materially incorrect, damaged, or materially inconsistent with the approved specifications, the customer should contact FIEL promptly and provide sufficient information for us to review the issue.

We may request photographs, packaging information, shipping labels, samples, quantities affected, or other documentation necessary to investigate the claim.

Where FIEL determines that a valid manufacturing or order error has occurred, FIEL may, at its discretion and subject to applicable law, repair the product, replace affected products, reproduce affected products, issue a credit, issue a refund, or provide another appropriate remedy.

A claim affecting only a portion of an order does not necessarily entitle the customer to reject or receive reimbursement for unaffected products.

20. Product Information and Website Accuracy

We attempt to provide accurate product descriptions, specifications, images, pricing, dimensions, availability, and other website information.

However, product information may occasionally contain errors, omissions, or outdated information. Products and specifications may also change as a result of manufacturing improvements, supplier changes, material availability, or other circumstances.

FIEL reserves the right to correct errors and update product information without prior notice.

21. Product Images

Product photographs, renderings, lifestyle images, digital mockups, and other website images are provided for general reference.

Actual products may vary slightly in appearance due to manufacturing tolerances, materials, printing processes, lighting, screen displays, product revisions, and other production factors.

22. Website Use

You agree not to use the website or FIEL's services for unlawful, fraudulent, abusive, or unauthorized purposes.

You may not attempt to interfere with the operation or security of the website, access systems or accounts without authorization, introduce malicious code, misuse customer information, or use the website in a manner that could damage FIEL or other users.

23. Website Content and FIEL Intellectual Property

Unless otherwise indicated, the website and its content, including text, product information, photographs, graphics, videos, page designs, logos, software, and other materials created or owned by FIEL, are protected by applicable intellectual property laws.

Website content may not be reproduced, redistributed, modified, republished, or commercially exploited without authorization, except as permitted by law or expressly authorized by FIEL.

24. Third-Party Services and Links

The website may contain links to, integrations with, or services provided by third parties, including payment providers, shipping carriers, tracking services, software providers, embedded applications, and other external services.

FIEL is not responsible for the content, availability, security, practices, or terms of independent third-party websites and services.

25. Availability of Products and Services

Products, materials, colours, sizes, components, production methods, and services may be changed or discontinued without notice.

Product availability may be affected by inventory, supplier availability, manufacturing capacity, transportation, seasonal demand, or other circumstances.

26. Force Majeure

FIEL will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including severe weather, natural disasters, fire, flood, labour disruption, government action, war, civil disturbance, transportation interruptions, carrier delays, equipment failure, utility interruption, supply shortages, public health emergencies, customs delays, or other comparable events.

27. Limitation of Liability

To the maximum extent permitted by applicable law, FIEL will not be liable for indirect, incidental, special, punitive, or consequential losses arising from the use of this website, a delayed order, a product issue, missed event, lost profits, loss of business, or other related circumstances.

Where liability cannot legally be excluded, FIEL's liability will be limited to the extent permitted by applicable law.

28. Indemnification

To the extent permitted by law, the customer agrees to indemnify and hold FIEL harmless from claims, damages, losses, liabilities, and reasonable costs arising from customer-supplied artwork, trademarks, copyrighted material, instructions, content, or other materials that infringe or allegedly infringe the rights of another party.

29. Privacy

Personal information collected through the website is handled in accordance with FIEL's Privacy Policy.

By using the website, you acknowledge that information may be processed by service providers that support website hosting, ecommerce, payments, order processing, shipping, communications, analytics, and other business operations.

30. Severability

If any provision of these Terms of Service is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

31. No Waiver

Failure by FIEL to enforce any provision of these Terms of Service does not constitute a waiver of that provision or any other right.

32. Governing Law

These Terms of Service and any separate agreements through which FIEL provides products or services will be governed by and interpreted in accordance with the laws applicable to the FIEL entity responsible for the transaction, without regard to conflict-of-law principles, except where applicable consumer or other mandatory laws require otherwise.

33. Changes to These Terms

FIEL may update these Terms of Service from time to time. The current version will be posted on this website together with the date of the most recent update.

Continued use of the website or services after updated Terms of Service are posted constitutes acceptance of the updated terms to the extent permitted by applicable law.
